Your role and responsibilities

In this role, you will have the opportunity to provide comprehensive legal advice and support to ABB’s operations,through your expertise in corporate law, compliance, contract negotiation, and risk management. Each day, you will be responsible for mitigating legal risks, ensuring corporate governance, and driving business growth while maintaining compliance with local laws and regulations. You will also showcase your expertise by providing L&I advice to ABB management and acting as an advisor to the business stakeholders. ROLES & RESPONSIBILITIES Represent L&I in the local management team(s) and in local board(s) at country level, providing proactive strategic legal direction, legal support, advising the country management and local functions on corporate and fiduciary matters, ensuring legal risks are effectively managed Provide local legal support in the country in connection with corporate governance and fiduciary matters, ensuring the local organization complies with all regulatory obligations and governance best practices and adhere to all applicable local, national, and international laws, including those related to labor, tax, antitrust,data privacy, cybersecurity, environmental, trade and industry-specific regulations Prepare and manage board meetings, including drafting resolutions, maintaining corporate records and preparing governance documents. Support strategic initiatives such as M&A, divestitures, establishment/closing of legal entities/branch offices and other corporate transactions. Support in M&A and divesting projects by liaising between global businesses, global and local functions ensuring L&I compliance with local regulations. Be responsible for providing legal support in the creation and update of local authorization matrices and tables (LAT), to ensure compliance with local laws and regulations Participate in the formulation, interpretation and implementation of ABB policies, to ensure consistency and compliance with applicable local laws, implementing training initiatives to promote adherence to legal standards Act as a Country Privacy Lead in the country, providing local legal support in connection to Data Privacy topics Provide L&I support and strategic advice in Turkey and other SEU countries in connection to Electrification Business, in close coordination with the Division and Cluster Lead Counsels, by providing pragmatic, business-oriented advice and risk assessment for a broad range of legal matters Support in anticipating future business and legal opportunities and challenges, developing appropriate strategies to address them. Assess integrity risks associated with business opportunities and transactions and support in implementing risk mitigation strategies in accordance with the third-party management procedure (TPM). Draft, review, negotiate and approve a wide range of commercial contracts, in collaboration with relevant business stakeholders and L&I team members and oversee contract and risk management. Participate in risk assessments and provide legal recommendations, supporting public tenders and special projects. Monitor legal affairs, including but not limited to litigations and activity reports and occupies a seat at the table on local strategic business matters Manage litigations, arbitrations, serving as the primary liaison with external counsel when required. Oversee the resolution of legal disputes, including settlements and negotiations, to minimize risk and financial exposure.Develop strategies to avoid disputes and proactively address potential legal conflicts Support the regional Labor & Employment counsel with local expertise, advising on labor-employment law matters, including hiring/termination, discrimination claims. Oversee compliance with labor laws across local jurisdiction. Identify risks, external threats, and opportunities to the company, proactively and propose appropriate strategies Contribute to effectively managing the Annual Performance Plan (APP) and control outside counsel expenditures LICENSE TO OPERATE / CORE VALUES Manage and monitor the implementation and execution of the code of conduct across the organization and collaborates with L&I team on integrity policies & processes, integrity investigations as necessary, supporting implementation of on-going integrity trainings, conducting in investigation and finding resolution of any integrity issues that arise Ensure all staff (under scope) understand ABB’s core values and group safety and integrity standards and act accordingly Implement and ensures compliance with the ABB code of conduct, global and local standards, tools, policies,and processes in their assigned area Ensure adherence to all internal and statutory regulations and policies pertaining to the teams in scope Ensure integrity and compliance with ABB values and ethics in all activities across all teams in scope COLLABORATION / LEADERSHIP Establish and maintain relationship with the key stakeholders of the respective/assigned unit and take accountabilities for all legal matters in the unit Work closely with the country’s management team, Country Holding Officer (CHO) and the board, to ensure that the local ABB entities comply with their fiduciary obligations Promote and enable collaboration across divisions, business areas, and teams to maximize results for ABB Provide guidance to the teams and seeks knowledge for their own development and coaching/mentoring of the teams Manage relationships with stakeholders in their own area of responsibility and ensure alignment Ensure that their own area of responsibility is properly organized, staffed, skilled, and directed Inspire, guide, motivate, and develop direct and indirect reports Build effective, competent, and high-performing teams Review organizational effectiveness and perform competence assessments and continuous skill upgrades

Qualifications for the role

  • Legal degree from accredited law school
  • Admission to the Turkish bar. Significant legal post-qualification experience or equivalent in an internationally recognized law firm or multinational company
  • Demonstrable fluency in English, including ability to draft and negotiate legal and corporate documents in English. Turkish is a must
  • Strong command of corporation and commercial law and practices. Stakeholders’ management and superior negotiating skills and ability to work in complex international environment, substantial experience working in different cultures and an open mind which champions diversity and inclusion.

  • Strong leadership and interpersonal skills experience in coordinating with cross-functional and cross-country teams
  • Strategic mindset with the ability to align legal priorities with organizational goals
  • Communication skills, including the ability to effectively and efficiently communicate in writing and orally, an aptitude for practical negotiation, the capability to think clearly and quickly under pressure, the composure to satisfy multiple and often competing interests and ability to share lessons learned with teammates
  • A practicing lawyer with at least 10 years of working experience in a multi-national company, preferably in an engineering or industrial sector required, experience working in listed company and in regulated markets
  • Comfortable to work as a “sole contributor”
  • Self-motivated and able to work with autonomy, attention to details with excellent time management
